Boards play two unique roles in their responsibilities as overseers of the firm, whether it is public, private, or family owned. One important role they play is targeted toward conformance. Their role in this domain is to ensure conformance to policies and plans that guide the firm's decisions and actions. The emphasis here is on supervision and accountability to ensure the firm is conforming to predetermined policies and plans. The other important role the board plays is targeted toward performance. This role emphasizes strategy formulation and policy making. It is the board's responsibility to ensure that management is setting the right direction and striving for above-average performance. The challenge is to build an effective board with the appropriate set of talents and to create a board-level culture in which both roles of conformance and performance are balanced. CEO Assessment and Coaching

This service is very popular for fairly new CEOs who have held the position of CEO for a relatively short period of time (less than three years). The assessment is a comprehensive analysis of the CEO on key attributes that relate to successful CEO performance. We use a database developed through our research in studying and comparing attributes that distinguish high-performing CEOs from their less effective counterparts.

CEO Performance Evaluation

We assist the board in planning and implementing a formalized CEO performance review process. In working with the chairperson, CEO, and directors, we custom design a performance evaluation process that meets the unique needs and circumstances of the client company. The process is designed to establish a commitment to involve direct participation of each board member and is conducted annually using predetermined and agreed-upon performance criteria.

CEO Succession Planning

We assist directors in planning for CEO succession. The identification and selection of potential CEO successors cannot be left to chance, corporate politics, or personal friendships. It should be the result of a thorough and just process orchestrated by the corporation's board of directors in partnership with the incumbent CEO. We help the board by identifying the direction of the firm, understanding the implications of the firms strategy for its leadership requirements, and assessing competencies that members of the top management team need to succeed with its strategy. By assessing key executives, recommendations are made for recruitment or development.

Board Performance Review

Agrowing trend among boards of directors is the installation of a formalized board performance review. We can assist boards in establishing a board self-evaluation process that is designed to measure the overall effectiveness of the board and individual direction. The process is designed to establish a commitment to improving the development, performance, and effective functioning of the board.
